Terms & Conditions

These Terms govern your use of the NTech website at ntechbahamas.com, the NTech IoT Connect platform at connect.ntechbahamas.com, the LoRaWAN devices NTech supplies and operates, and the WhatsApp / SMS notification service we send on your behalf. By using any of these you agree to be bound by these Terms.

1. Acceptance of these Terms

By browsing ntechbahamas.com, signing in to IoT Connect, accepting delivery of NTech-supplied hardware, or receiving notifications you have opted in to, you confirm that you have read these Terms and agree to be bound by them. If you are accepting on behalf of a company or other organisation, you confirm that you have authority to bind that organisation, in which case "you" means that organisation.

If you do not agree to these Terms, you must not use our website, the IoT Connect platform, or our hardware, and you must opt out of any notifications using the procedure in section 8.

2. About NTech and the service

NTech Ltd. (also trading as NTech, NTech Bahamas, and NTech Automation Systems — collectively "NTech", "we", "us", "our") is a Bahamian company founded in 2019 with its registered address in Nassau, New Providence.

NTech operates a managed LoRaWAN network across The Bahamas; supplies, installs, and maintains connected sensors, meters, and controllers; runs the NTech IoT Connect cloud software (dashboards, rule engine, integrations, and APIs); and sends transactional and service messages on behalf of customers via WhatsApp and SMS. These activities together are the "Service".

3. Order of precedence

If you have signed a separate written agreement with NTech (for example, a proposal, statement of work, master services agreement, or installation order), that agreement and any service-level commitments it contains take precedence over these Terms to the extent of any direct conflict.

Where there is no signed agreement — for example, where a self-service customer signs up to IoT Connect through the website — these Terms apply in full.

5. Hardware ownership & software licence

5.1 Hardware

Where NTech sells hardware to you outright, ownership of that hardware passes to you on full payment of the invoice, subject to any retention-of-title clause in the related order. Where hardware is supplied as part of a managed-service or rental arrangement, ownership remains with NTech and you receive a right to use the hardware for the duration of that arrangement.

5.2 IoT Connect software licence

While your subscription is current, NTech grants you a non-exclusive, non-transferable, revocable licence to access and use the IoT Connect cloud software for your internal business operations, on the devices and accounts you have validly registered. The licence ends when your subscription ends.

5.3 Updates & firmware

NTech may push firmware and software updates from time to time to keep the Service secure, reliable, and compliant. Where updates require a brief outage we will give reasonable notice through IoT Connect or by email where the update is significant.

We may suspend any account or device immediately if we reasonably believe that continued operation would breach this section or expose other customers, our network, or third parties to harm.

7. Service availability & SLAs

NTech aims to keep IoT Connect, the LoRaWAN network, and the messaging gateway operational 24/7, but no service is guaranteed to be uninterrupted or error-free. Standard accounts are provided on a best-effort basis; specific availability commitments and remedies (uptime targets, response times, credit schemes) are only binding where they are written into a signed agreement that references this section.

Planned maintenance is normally performed during low-utilisation hours and announced in advance through IoT Connect or by email. Emergency maintenance may be performed without prior notice where required to protect the Service or its users.

8. Notifications & alerting

NTech sends transactional and service messages (monthly billing summaries, real-time device alerts, service notices, one-time passcodes) via WhatsApp and SMS through Sent.dm and onward delivery partners. The full operational and consent details are set out in our Privacy Policy — section 4.

8.1 How to stop or get help

Reply STOP, UNSUBSCRIBE, or CANCEL to any NTech message to opt out at any time. Reply HELP, email [email protected], or call +1 (242) 816-0298 for assistance. Message frequency varies; standard message and data rates may apply (carrier dependent).

Important safety notice

NTech alerts are convenience notifications. They depend on third-party radio networks, internet links, and messaging carriers that NTech does not own or fully control. Do not rely on NTech notifications as your sole means of detecting a life-safety, fire, flood, gas, security, or critical-process condition. For those purposes, use a monitored alarm system, on-site supervisory control, or other fail-safe arrangement designed to the relevant safety standard.

10. Suspension & termination

We may suspend or terminate the Service (in whole or in part) without liability if (a) you materially breach these Terms or any signed agreement; (b) any invoice remains unpaid more than 30 days after its due date; (c) we reasonably believe continued operation would breach the law, harm other customers, or expose NTech to material risk; or (d) a relevant authority instructs us to do so.

You may terminate your IoT Connect subscription on the notice period stated in your plan or signed agreement (and in any event no longer than 30 days). On termination you remain liable for any fees accrued up to the termination date and any non-cancellable commitments NTech has made on your behalf.

Following termination, NTech will retain or delete customer data in accordance with the retention schedule in our Privacy Policy — section 8.

11. Intellectual property

NTech (or its licensors) owns all intellectual property in the IoT Connect software, our payload decoders, firmware, dashboards, documentation, brand assets, and the contents of ntechbahamas.com, including all related trade marks. Nothing in these Terms transfers any of those rights to you, beyond the limited licence in section 5.2.

You retain ownership of the data your devices generate and the content you upload to IoT Connect (collectively "Customer Data"). You grant NTech a non-exclusive licence to host, copy, transmit, and process Customer Data only as needed to provide and improve the Service.

12. Confidentiality

Each party will keep confidential any non-public information disclosed by the other in connection with the Service, will use it only to perform or receive the Service, and will protect it with at least the same care it uses for its own confidential information of a similar nature. This obligation survives termination for three (3) years and does not apply to information that becomes public through no fault of the receiving party, was already known to it without restriction, or that it is required to disclose by law (in which case it will give the other party reasonable advance notice where lawful).

13. Customer data, privacy & messaging consent

Our handling of personal information is set out in full in our Privacy Policy, which forms part of these Terms.

You warrant that any personal information you submit to NTech — including any phone number that you list as a notification recipient — has been lawfully collected by you, that the individual concerned has consented to receive automated WhatsApp / SMS messages from NTech relating to your account and devices, and that you will promptly remove any number where consent is withdrawn. You will indemnify NTech for losses arising from your breach of this warranty (see section 16).

14. Warranties & disclaimers

14.1 NTech warranties

NTech warrants that it will provide the Service with reasonable skill and care and in accordance with applicable Bahamian law. Hardware sold by NTech is covered by the manufacturer's standard warranty as set out in the relevant order or datasheet; NTech will pass through and (where commercially reasonable) administer those warranties on your behalf.

14.2 Disclaimer

Except for the express warranties in section 14.1 and any non-excludable consumer rights under Bahamian law, the Service is provided "as is" and "as available". To the maximum extent permitted by law, NTech disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, or uninterrupted operation.

15. Limitation of liability

Nothing in these Terms limits or excludes either party's liability for (a) death or personal injury caused by its negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot be limited or excluded by law.

Subject to that, to the maximum extent permitted by law:

These limits apply in aggregate across all claims, whether based on contract, tort (including negligence), statute, or any other legal theory.

16. Indemnity

You will indemnify, defend, and hold NTech (and its officers, employees, contractors, and agents) harmless from and against any third-party claim, loss, damage, fine, or expense (including reasonable legal fees) arising out of (a) your use of the Service in breach of these Terms; (b) your breach of the messaging-consent warranty in section 13; (c) any Customer Data that infringes third-party rights or breaches applicable law; or (d) any physical installation work that you, rather than NTech, perform on your premises in connection with the Service.

17. Force majeure

Neither party will be liable for failure or delay in performing its obligations to the extent caused by an event beyond its reasonable control, including acts of God, hurricanes and severe weather, fire, flood, earthquake, epidemic, pandemic, war, civil unrest, strike, embargo, governmental order, failure of public utilities, internet backbone failure, cyber-attack, or third-party telecommunications-network failure. The affected party will notify the other promptly and use reasonable efforts to resume performance.

18. Changes to the service or these Terms

NTech may update these Terms from time to time. The current version, effective date, and version number are shown at the top of this page. Where a change is significant we will give registered IoT Connect account holders reasonable advance notice by email or in-app notice; continued use of the Service after the new Terms take effect constitutes acceptance.

We may also modify, add, or discontinue features of the Service. Where a change materially reduces the functionality you depend on under a signed plan, we will tell you in advance and (where appropriate) offer a reasonable workaround or pro-rata refund of pre-paid fees for the affected period.

19. Governing law & disputes

These Terms are governed by the laws of the Commonwealth of The Bahamas. Any dispute arising out of or in connection with the Service will be referred to the exclusive jurisdiction of the courts of Nassau, The Bahamas, unless a signed agreement between the parties provides otherwise.

Before issuing proceedings, both parties agree to attempt in good faith to resolve any dispute by direct negotiation between authorised representatives for at least 30 days following written notice of the dispute.
